3. Account Responsibilities

4. Products and Research-Use-Only Designation

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless i2b Health Research Supply LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Site or products; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your misuse of any product purchased through the Site, including but not limited to use for human or animal consumption.

9. Dispute Resolution and Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Florida, and the arbitrator's decision shall be final and binding. Judgment upon the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

YOU AGREE THAT ANY ARBITRATION SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION OR REPRESENTATIVE PROCEEDING. You waive any right to participate in a class action lawsuit or class-wide arbitration against i2b Health.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in the State of Florida.

11. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

12. Export Controls

Products are intended for use within the United States only and are subject to U.S. export control laws. Customers agree not to export, re-export, or resell products to international parties.

13. Modifications to Terms

i2b Health reserves the right to update or modify these Terms at any time without prior notice. The "Last Updated" date at the top of this page indicates when these Terms were last revised.
